General Terms and Conditions

Summary: GrateUp is a SaaS review management service. You keep ownership of your data. We provide AI-powered tools to help you respond to Google reviews. You are responsible for the final content you publish. These Terms are available electronically and can be accessed, downloaded, and printed at any time.

1. Introduction

These General Terms and Conditions (hereinafter: "Terms" or "GTC") govern the use of the digital service known as GrateUp (hereinafter: "Service"), operated by TeleOptimum Kft. (hereinafter: "Service Provider").

These Terms are available electronically and can be accessed at any time at https://grateup.com/terms. The Terms can be downloaded and printed.

These Terms are prepared in Hungarian and English. In case of any discrepancy between the two language versions, the Hungarian version shall prevail.

The contract concluded between the Service Provider and the User is an electronic contract that is not filed and cannot be retrieved subsequently. The contract is concluded in Hungarian and English.

The Service Provider has not submitted to any code of conduct within the meaning of Government Decree 45/2014 (II. 26.), Section 9(1)(q).

4. Fundamental Provisions

These Terms apply to the digital services provided by the Service Provider through the https://grateup.com website and the related legal relationships.

By registering for the Service, the User (hereinafter: "User") declares that they have read, understood, and accept these Terms as binding.

The contract between the Service Provider and the User qualifies as a distance contract within the meaning of Section 6:7(3) of the Civil Code and Government Decree 45/2014 (II. 26.).

4. Description of the Service

GrateUp is a subscription-based digital service (SaaS) for Google Business Profile review management. The main features of the Service include:

Using the Service requires the User to connect their Google Business Profile via OAuth. The Service Provider accesses the account only with the permissions explicitly granted by the User.

Subscription Plans

All prices are gross prices and include 27% Hungarian VAT. A 28-day free trial is available for new users.

5. Registration and Account

6. Contract Formation and Order Process

The technical steps for placing an order and concluding the contract are as follows:

  1. The User selects the desired subscription plan on the GrateUp website.
  2. The User enters their billing details (name, address, tax number if applicable).
  3. Optionally, the User may apply a coupon code.
  4. The User reviews the order summary and confirms the order.
  5. The system redirects the User to the Barion secure payment page, where the User completes the payment.
  6. After successful payment, the User is redirected to the GrateUp website and receives a confirmation email with an invoice.

The contract is concluded at the moment of successful payment. The Service is activated immediately. The confirmation email serves as acknowledgment that the contract has been concluded.

Correction of data entry errors: Before completing payment, the User may return to any previous step to correct data entry errors by using the browser's back button or the navigation controls on the order page. After payment, corrections can be requested via info@grateup.com.

7. Prices and Payment

The prices of the Service are denominated in EUR (euros) and are gross prices including 27% Hungarian VAT.

The Service Provider reserves the right to change prices. Existing subscribers will be notified of price changes by email at least 30 days in advance.

Payment Method

Online payments are processed by Barion Payment Zrt., a payment service institution operating under the supervision of the National Bank of Hungary (Magyar Nemzeti Bank), in accordance with the applicable financial services legislation. MNB license number: H-EN-I-1064/2013. Barion is a PCI DSS Level 1 certified payment service provider.

During the payment process, the User is redirected to the Barion secure payment page. GrateUp does not store and does not have access to the User's bank card details.

Accepted payment methods: Visa, Mastercard, Apple Pay, Google Pay.

Invoicing

Invoices are generated automatically through the Billingo invoicing system and sent to the User's email address after each successful payment. Invoices comply with Hungarian accounting and tax regulations.

Incorrect Pricing

If, despite all due care, an incorrect price is displayed on the website — particularly an obviously erroneous price such as €0 or €1, or a price significantly different from the commonly known value of the service — the Service Provider is not obliged to provide the service at the incorrect price. In such cases, the Service Provider may offer the service at the correct price, and the User may choose to withdraw from their purchase intention.

8. Fulfillment

GrateUp is a digital service; no physical delivery takes place. The Service is fulfilled by providing access to the subscribed plan's features.

Fulfillment occurs immediately after successful payment: the User gains access to the subscribed plan's features immediately upon completion of payment.

9. Subscription Duration and Cancellation

Subscriptions are available on a monthly or annual billing cycle. Unless cancelled, subscriptions renew automatically at the end of each billing period.

11. Right of Withdrawal

Important notice: Under Section 20 of Government Decree 45/2014 (II. 26.), consumers have a 14-day right of withdrawal for distance contracts. However, for digital services, the consumer expressly consents to the Service Provider beginning performance immediately after the contract is concluded, and acknowledges that they lose their right of withdrawal once performance has begun.

Pursuant to Section 29(1)(m) of Government Decree 45/2014 (II. 26.), the consumer may not exercise the right of withdrawal under Section 20 in the case of a contract for digital content not supplied on a tangible medium, where the Service Provider has begun performance with the consumer's express, prior consent, and the consumer has acknowledged at the time of giving such consent that they lose their right of withdrawal once performance has begun.

During the ordering process — at the time of initiating payment — the User expressly declares that:

If the Service has not yet been activated, the User may exercise their right of withdrawal within 14 days by contacting info@grateup.com.

12. Statutory Warranty

In the event of defective performance by the Service Provider, the User may assert a statutory warranty claim against the Service Provider in accordance with Section 6:159 of the Civil Code.

Performance is defective if the Service does not meet the quality requirements specified in the contract or by law at the time the contract is concluded (e.g., described features do not work or do not function as described).

As a statutory warranty claim, the User may, at their choice:

The User must report the defect to the Service Provider without undue delay, but no later than two months from the discovery of the defect.

Important: These statutory warranty rights are mandatory consumer rights under Hungarian law and cannot be excluded or limited to the detriment of the consumer.

13. AI-Generated Content and Liability

GrateUp uses artificial intelligence to generate reply suggestions. The generated replies are exclusively suggestions.

The User may submit complaints about the Service through the following channels:

The Service Provider investigates oral complaints immediately and remedies them where possible. For oral complaints that cannot be resolved immediately, the Service Provider prepares a written record, a copy of which is provided to the User.

The Service Provider responds to written complaints in substance within 30 days and sends the response to the User.

If the complaint is rejected, the Service Provider communicates the rejection with reasoning and informs the consumer of available remedies.

16. Conciliation Body

If the User's consumer complaint is not satisfactorily resolved by the Service Provider, the User may turn to the conciliation body competent for the User's domicile or place of temporary residence, or in the absence thereof, the conciliation body competent for the Service Provider's registered office.

All content appearing on the GrateUp website and in the Service (including but not limited to: texts, graphics, logos, software, user interface, design) is protected by the copyright of TeleOptimum Kft. or its licensors. Copying, modifying, or distributing the content without the Service Provider's prior written consent is prohibited.

23. Language of the Contract

These Terms and the contract are available in Hungarian and English. In case of any discrepancy between the language versions, the Hungarian version shall prevail.

24. Changes to These Terms

The Service Provider is entitled to unilaterally amend these Terms. Users will be notified of material changes by email at least 30 days before the changes take effect. Continued use of the Service after the changes take effect constitutes acceptance of the new Terms.

1. Bevezeto rendelkezesek

Jelen Altalanos Szerződesi Feltetelek (a tovabbiakban: ASZF) a TeleOptimum Kft. (a tovabbiakban: Szolgaltato) altal uzemeltetett GrateUp elnevezesű digitalis szolgaltatas (a tovabbiakban: Szolgaltatas) igenybevetelere vonatkozo altalanos szerződesi feltetelek.

Az ASZF elektronikus formaban erheto el, es a https://grateup.com/terms?lang=hu cimen barmikor megtekintheto, letoltheto es kinyomtathato.

Az ASZF magyar es angol nyelven keszult. Ertelmezesi elteres eseten a magyar valtozat az iranyado.

A Szolgaltato es a Felhasznalo kozott letrejott szerződes elektronikus uton megkotott, nem irasba foglalt szerződes, amelyet a Szolgaltato nem iktat, es az utolag nem keresheto vissza. A szerződes nyelve magyar es angol.

A Szolgaltato nem vetette ala magat magatartasi kodexnek a 45/2014. (II. 26.) Korm. rendelet 9. § (1) bekezdes q) pontja ertelmeben.

4. Alapveto rendelkezesek

A jelen ASZF hatalya kiterjed a Szolgaltato altal a https://grateup.com weboldalon keresztul nyujtott digitalis szolgaltatasokra, valamint az ezzel kapcsolatos jogviszonyokra.

A Szolgaltatas igenybevetelehez szukseges regisztracio soran az igenybevevo (a tovabbiakban: Felhasznalo) kijelenti, hogy a jelen ASZF-et megismerte, es annak rendelkezeseit magara nezve kotelezokent elfogadja.

A Szolgaltato es a Felhasznalo kozotti szerződes tavollevo felek kozotti szerződeskotesnek minosul a Ptk. 6:7. § (3) bekezdese, valamint a 45/2014. (II. 26.) Korm. rendelet ertelmeben.

4. A Szolgaltatas leirasa

A GrateUp egy elofizeteses alapu (SaaS) digitalis szolgaltatas, amely a Google Business Profile velemenykezeleshez nyujt eszkozoket. A Szolgaltatas fobb funkcioi:

A Szolgaltatas igenybevetelehez a Felhasznalonak Google Business Profile fiokjat OAuth-on keresztul ossze kell kapcsolnia. A Szolgaltato kizarolag a Felhasznalo altal kifejezetten engedelyezett jogosultsagokkal fer hozza a fiokhoz.

Elofizetesi csomagok

Minden ar brutto ar, tartalmazza a 27%-os magyar altalanos forgalmi adot (ÁFA). Uj felhasznalok szamara 28 napos ingyenes probaido (trial) erheto el.

6. A megrendeles menete es a szerződes letrejotte

A Szolgaltatas megrendelesenek technikai lepeseit az alabbiakban ismertetjuk:

  1. A Felhasznalo kivalasztja a kivant elofizetesi csomagot a GrateUp weboldalon.
  2. Megadja a szamlazasi adatait (nev, cim, adoszam amennyiben relevans).
  3. Opcionalisan kuponkodot ervenyesithet.
  4. Attekinti a megrendeles osszesitojet es megerositi a megrendelest.
  5. A rendszer atiranyitja a Barion biztonsagos fizetesi oldalara, ahol vegrehajtja a fizeteset.
  6. Sikeres fizetes utan a Felhasznalo visszairanyitasra kerul a GrateUp oldalara, es visszaigazolo e-mailt kap a szamlaval egyutt.

A szerződes a sikeres fizetes pillanataban jon letre. A Szolgaltatas azonnal aktivalodik. A visszaigazolo e-mail a szerződes letrejottet igazolja.

Adatbeviteli hibak javitasa: A fizetes lezarasa elott a Felhasznalo a bongeszo vissza gombjava vagy a megrendelesi oldal navigacios elemei segitsegevel barmely korabbi lepesre visszaterhet es javithatja az adatbeviteli hibakat. A fizetes utan a javitas kerelmezheto az info@grateup.com e-mail cimen.

7. Arak es fizetes

A Szolgaltatas arai EUR-ban (euro) vannak meghatarozva, es brutto arakkent tartalmazzak a 27%-os magyar ÁFA-t.

Az arak valtoztatasanak joga fenntartva. Meglevo elofizetok eseten az arvaltozasrol a Szolgaltato legalabb 30 nappal korabban e-mailben ertesiti a Felhasznaot.

Fizetesi mod

Az online fizeteseket a Barion Payment Zrt. biztositja, amely a Magyar Nemzeti Bank felugyelete alatt allo penzforgalmi intezmeny. Az MNB engedelyszam: H-EN-I-1064/2013. A Barion PCI DSS Level 1 tanusitvannyal rendelkezo fizetesi szolgaltato.

A fizetes soran a Felhasznalo a Barion biztonsagos fizetesi oldalara kerul atiranyitasra. A GrateUp nem tarolja es nem fer hozza a Felhasznalo bankkartya-adataihoz.

Elfogadott fizetesi modok: Visa, Mastercard, Apple Pay, Google Pay.

Szamlazas

A szamlakat a Billingo szamlazo rendszeren keresztul automatikusan allitjuk ki, es a sikeres fizetestt kovetoen e-mailben kuldjuk meg a Felhasznalo reszere. A szamla megfelel a magyar szamviteli es adojogi eloirasoknak.

Hibas ar

Amennyiben a Szolgaltato minden gondossaga ellenere hibas ar kerul a weboldal feluletere, kulonos tekintettel a nyilvanvaloan teves, a szolgaltatas kozismert vagy altalanosan elfogadott aratol jelentosen eltero, esetleg rendszerhiba miatt megjeleno 0 EUR-os vagy 1 EUR-os arra, ugy a Szolgaltato nem koteles a szolgaltatast a hibas aron nyujtani. Ilyen esetben a Szolgaltato felajanlhatja a helyes aron torteno elofizetesre vonatkozo lehetoseget, amelynek ismereteben a Felhasznalo elallhat a vasarlasi szandekatol.

8. Teljesites

A GrateUp digitalis szolgaltatas, fizikai szallitas nem tortenik. A Szolgaltatas az elofizetett csomag funkcioihoz valo hozzaferes formajaban teljesul.

A teljesites a sikeres fizetes utan azonnal megtortenik: a Felhasznalo a fizetest kovetoen azonnal hozzafer az elofizetett csomag funkcioihoz.

9. Az elofizetes idotartama es felmondas

Az elofizetes havi vagy eves szamlazasi ciklussal erheto el. Felmondas hianyaban az elofizetes az egyes szamlazasi idoszakok vegen automatikusan megujul.

11. Elallasi jog

Fontos tajekoztatas: A 45/2014. (II. 26.) Korm. rendelet 20. § alapjan a fogyasztonak a tavollevo felek kozotti szerződes eseten 14 napos elallasi joga van. Azonban digitalis szolgaltatas eseten a fogyaszto kifejezetten hozzajarul ahhoz, hogy a Szolgaltato a teljesiteset a szerződeskotes utan azonnal megkezdje, es tudomasul veszi, hogy a szolgaltatas egeszenek teljesiteset kovetoen elallasi jogat elvesziti.

A 45/2014. (II. 26.) Korm. rendelet 29. § (1) bekezdes m) pontja ertelmeben a fogyaszto nem gyakorolhatja a 20. § szerinti elallasi jogat olyan szerződes eseten, amelynek targyat nem anyagi adathordozon nyujtott digitalis adattartalom kepezi, amennyiben a Szolgaltato a fogyaszto kifejezett, elozetes beleegyezesevel kezdte meg a teljesiteset, es a fogyaszto e beleegyezessel egyidejuleg nyilatkozott arrol, hogy tudomasul veszi, hogy a teljesites megkezdeset kovetoen elallasi jogat elvesziti.

A megrendeles soran a Felhasznalo — a fizetes kezdemenyezesekor — kifejezetten nyilatkozik arrol, hogy:

Ezen nyilatkozatot a Felhasznalo a megrendelesi (checkout) folyamat soran az erre szolgalo jelolonegyzet (checkbox) kipipalasaval teszi meg.

Amennyiben a Szolgaltatas meg nem kerult aktivalasra, a Felhasznalo 14 napon belul gyakorolhatja elallasi jogat az info@grateup.com e-mail cimen.

12. Kellekszavatossag

A Felhasznalo a Szolgaltato hibas teljesitese eseten a Szolgaltatoval szemben kellekszavatossagi igenyt ervenyesithet a Ptk. 6:159. § rendelkezesei szerint.

Hibas a teljesites, ha a Szolgaltatas nem felel meg a szerződeskoteskor a szerződesben vagy jogszabalyban meghatarozott minosegi kovetelmenyeknek (pl. a leirt funkciok nem mukodnek vagy nem a leirasnak megfeleloen mukodnek).

Kellekszavatossagi igenykent a Felhasznalo valasztasa szerint:

A Felhasznalo a hiba felfedezeset kovetoen kesedelem nelkul, de legkesobb a hiba felfedezeseetol szamitott ket honapon belul koteles a hibat a Szolgaltatonak bejelenteni.

Fontos: A kellekszavatossagi jogok a magyar jog szerinti kotelezo fogyasztoi jogok, amelyektol a fogyaszto hatranyara elterni nem lehet.

13. Mesterseges intelligencia (MI/AI) altal generalt tartalom

A GrateUp mesterseges intelligenciat hasznal valaszjavaslatok generalasahoz. A generalt valaszok kizarolag javaslatoknak minosulnek.

14. Adattulajdon es adatvedelem

15. Panaszkezeles

A Felhasznalo a Szolgaltatassal kapcsolatos panaszait az alabbi elerhetosegeken teheti meg:

A Szolgaltato a szobeli panaszt azonnal megvizsgalja es lehetoseg szerint orvosolja. Az azonnal nem orvosolt szobeli panaszrol a Szolgaltato jegyzokonyvet vesz fel, amelynek masolatat a Felhasznalonak atadja.

A Szolgaltato az irasbeli panaszt 30 napon belul erdemben megvalaszolja, es a valaszt a Felhasznalonak megkuldi.

Amennyiben a panasz elutasitasra kerul, a Szolgaltato az elutasitast indokolassal egyutt kozli, es tajekoztatja a fogyasztot a jogorvoslati lehetosegekrol.

16. Bekelteto testulet

Amennyiben a Felhasznalo fogyasztoi panaszat a Szolgaltato nem orvosolja megfeleloen, vagy a Felhasznalo a valasszal nem ert egyet, a Felhasznalo a lakhelye vagy tartozkodasi helye szerint illetekes bekelteto testulethez, ennek hianyaban a Szolgaltato szekhelye szerint illetekes bekelteto testulethez fordulhat.

17. Fogyasztovedelmi hatosag

Az Europai Unioban elo fogyasztok szamara az Europai Bizottsag online vitarendezesi platformot (ODR) uzemeltet, amely a kovetkezo cimen erheto el: https://ec.europa.eu/consumers/odr

19. Szerzoi jogok

A GrateUp weboldalon es szolgaltatasban megjeleno osszes tartalom (beleertve, de nem kizarolag: szovegek, grafikak, logok, szoftver, felhasznaloi felulet, dizajn) a TeleOptimum Kft. vagy licencadoi szerzoi jogi vedelme alatt all. A tartalom masolasa, modositasa vagy terjesztese a Szolgaltato elozetes irasbeli hozzajarulasa nelkul tilos.

A Szolgaltato nem vetette ala magat magatartasi kodexnek a 45/2014. (II. 26.) Korm. rendelet 9. § (1) bekezdes q) pontja ertelmeben.

23. A szerződes nyelve

A jelen ASZF es a szerződes magyar es angol nyelven erheto el. Ertelmezesi elteres eseten a magyar nyelvu valtozat az iranyado.

24. Az ASZF modositasa

A Szolgaltato jogosult a jelen ASZF-et egyoldaluan modositani. A lenyeges valtozasokrol a Szolgaltato legalabb 30 nappal a hatalyba lepes elott e-mailben ertesiti a Felhasznalokat. A Szolgaltatas modositast koveto tovabbi hasznalata az uj ASZF elfogadasanak minosul.
